TERMS AND CONDITIONS OF PAPER PLATFORM USAGE

The Terms & Conditions of PAPER Platform Usage ("Terms & Conditions") set forth below govern the procedures for use and the rights and obligations of PAPER Platform Users. By registering on, accessing, and/or using the PAPER Platform, the User is deemed to have read, understood, comprehended and agreed to all material in these Terms & Conditions.

These Terms & Conditions constitute a legal form of Service agreement between the User and PAPER and must be read and interpreted as an integral part of the Privacy Policy listed on the PAPER website page. If the User does not agree to part or all of the contents of the Terms & Conditions, the user is not allowed to use the services on the PAPER Platform.

1. Definitions

"Invoice" is a document which is used as a billing statement issued by the seller to the buyer where the invoice contains, at least, the details of the goods and/or services purchased, the unit price and total price, and the date of purchase.
"PAPER" or "We" are PAPER DIGITAL MY SHD. BHD, a limited liability company established under the laws of Malaysia, registered in Kuala Lumpur.
"User" or "You" are a company or individual either unregistered but accessing the PAPER Platform or registered on and using the PAPER Platform.
"PAPER Platform" is a website, application, or other electronic system owned by PAPER.
"Partner" is a company or individual who is a business partner of the User, be it as a supplier/supplier, buyer/buyer, or party that can be equated with this.
"Registration Data" is data related to the User entered by the User during the first registration on the PAPER Platform.
"Payment Data" is data related to the User that is entered by the User when and before making Digital Payment on the PAPER Platform.
"Partner Data" is data related to the Partner entered by the User as (i) invoice recipient and/or (ii) payment recipient in the PAPER Platform.
"Service" is any function of PAPER that is used by Users and Partners to access available information, make decisions to make payment transactions, or others.
"Digital Payment" is a payment service that uses internet facilities as an intermediary.
"Reverse Engineering" is a technique used to determine the data processing that occurs on the PAPER Platform.
"Customer Service" is one of the actions to improve PAPER services to Users and Partners.
"Personal Identity Verification" is a process carried out to guarantee the security of Digital Payment Services by processing the Privacy Data of Users who use Digital Payment services.
"Business Verification" is a process carried out to guarantee the security of Digital Payment Services by processing company data from Users who use Digital Payment services.
"Working Day" means Monday-Friday from 9.00 am to 5.00 pm WIB, other than Saturdays, Sundays and national official holidays where banks are open to conduct their business activities in accordance with the provisions of the Central Bank.

2. Usage of PAPER Platform

  1. The use of the PAPER Platform is intended for Users only for services, features and interests that are in accordance with the services provided by PAPER.
  2. The User must provide true, accurate, current and complete information in the context of registration or use of features or the PAPER Platform to obtain the best services provided by PAPER.
  3. The User guarantees that the information provided to PAPER is legally obtained and the User has obtained sufficient approval from the Partner if the User provides information related to the Partner required to use certain features on the PAPER Platform.

3. PAPER Platform Access and Security

Users are prohibited from:

  1. Weaken the security or integrity of the PAPER Platform, whether contained in the PAPER computer system or network or in another party's computer system or network.
  2. Use or misuse the PAPER Platform in any way that may interfere with the ability of other Users to use the PAPER Platform.
  3. Make unauthorised access to any material other than that which has been clearly stated and permitted to be accessed by the User or Partner.
  4. Use, transmit, paste, or insert links (links); software, hardware, or other tools, including but not limited to robots, emulators, spiders, crawlers into or on the PAPER Platform which result in the weakening, inhibition, destruction, or misuse of the PAPER Platform.
  5. Transmitting, entering, or displaying links, materials, materials, or data that contain incitement, hate speech, offended, or violate the provisions of the laws and regulations of the Republic of Malaysia into or on the PAPER Platform; including data or other material protected by copyright or trade secrets which neither the User nor the Partner has the right to use.
  6. Changing, copying, imitating, disassembling, or reverse engineering any computer programme used to provide services on the PAPER Platform.

4. Service Level Agreement (SLA)

In the event that there are system-related problems in the PAPER Platform reported by the User, then:

  1. The time taken by PAPER to identify the system problem from the time of the initial report is 2x24 hours.
  2. The time dedicated to repairing or dealing with the problem is 2-15 calendar days, depending on the complexity of the problem.
  3. In the event that the rectification process has been carried out within the above timeframe but in PAPER's judgement it is evident that the problem still requires improvement, then the process and timeframe for rectifying the problem starts again from point 4.a.
  4. If the problem correction process has been completed and there is no objection from the reporter/user within 2x24 hours from the issuance of the notification of the completion of problem correction by PAPER, the problem is considered to have been resolved and the report is closed.

5. Intellectual Property Rights (IPR)

  1. We are the owner of the IPR in the PAPER Platform, including all marketing materials, logos, trademarks and/or service marks that mention the name of "PAPER" and/or "Paper Digital Sdn. Bhd". The use of marketing materials, logos, trademarks and service marks that We own by User or any other party must be done with our prior written consent.
  2. By agreeing to these Terms & Conditions, you give us approval to place your logo, trademark, or service mark in our marketing materials. You still own the IPR on such logos, trademarks or service marks and such placement by Us does not necessarily constitute an assignment to or acquisition of your IPR by Us.

6. Data Processing and Ownership

  1. We process Users' Privacy Data and corporate data of Users and Partners based on Our Privacy Policy and applicable laws and regulations. By registering with, accessing and/or using the PAPER Platform, you consent to such processing.
  2. All Invoice data remains your property. PAPER shall only transmit Invoice data to any party as per your input and consent, and shall not alter the content except for system-required formatting and/or signing.

7. Guarantees and Releases

  1. You are responsible for ensuring the accuracy, completeness, and compliance of all Invoice content or information submitted via PAPER. PAPER shall provide reasonable tools, validation, and audit logs to support compliance efforts.
  2. PAPER is not liable for any penalties, tax audit findings, or compliance issues arising from inaccurate, incomplete, or non-compliant invoice content provided by User. PAPER's role is strictly limited to system integration, transmission, and/or submission as authorised.
  3. You indemnify Us from claims for damages and hold Us harmless (including directors, commissioners, and employees; and any sister or affiliated companies and the directors, commissioners, and employees of such sister or affiliated companies) from any claims or demands or legal costs arising from such claims or demands, brought by Partners or other third parties as a result of any breach of these Terms and Conditions, improper use of the PAPER Platform, violation of law, or violation of the rights of such Partners or other third parties committed by You.

8. Changes to Platform Terms & Conditions

PAPER reserves the right to change or add provisions in this Terms & Conditions including details of services fees and prices at any time by issuing a notification to the User no later than 30 (thirty) calendar days before the change or addition is effective. PAPER encourages Users to access and read this Terms & Conditions page regularly. If the User is not pleased with the changes or additions, the User is advised not to access and use the PAPER Platform.

9. Jurisdiction

These Terms and Conditions are made and construed in accordance with the laws of Malaysia. You agree that any dispute or legal action relating to these Terms & Conditions shall be resolved within the jurisdiction of the courts of the Asia International Arbitration Center in Kuala Lumpur, Malaysia.
